Terms of Service#

These Terms of Service (“Terms”) govern the use of the Turnover service, available at turnover.no (the “Service”), provided by Turnover App AS, org. no. 833 376 632, Solsletteveien 4A, 4019 Stavanger, Norway (“Turnover”, “we”, “us”).

By creating an account, subscribing to a plan or using the Service you accept these Terms. If you accept them on behalf of a company, you confirm that you are authorised to bind that company, and “you” and “Customer” refer to the company.

1. The Service#

1.1 Turnover is a web application for film and TV productions and their crew. It lets production companies register crew and employees, record working hours, apply rate agreements, calculate pay, produce timesheets and payroll reports, and export data to accounting and payroll systems. It lets crew members record and sign their own hours and see their own pay.

1.2 Turnover calculates pay according to the rates, rules and agreements the Customer configures. The Customer is responsible for configuring them correctly and for checking the output before it is used for payroll. Turnover is a tool, not a payroll provider, accountant or legal adviser.

1.3 We may change, improve or discontinue features of the Service. We give reasonable notice of changes that materially reduce functionality the Customer pays for.

2. Accounts#

2.1 To use the Service you need a user account with a valid e-mail address. You must keep your password confidential and are responsible for all activity under your account. We recommend enabling two-factor authentication, and it is required for viewing other people’s national identity numbers and bank account numbers or exporting them to a file.

2.2 You must be at least 15 years old and provide accurate information.

2.3 A company account is created by the person who subscribes to a plan (the “Owner”). The Owner may invite other users and assign them roles such as producer, admin, coordinator or crew. The Customer is responsible for the users it invites and for the access it gives them.

2.4 You may request deletion of your user account at any time from the Preferences page in the application. Deleting a user account does not delete productions or company data that other users depend on; see section 8.

3. Plans, trial and billing#

3.1 The Service is offered in the plans and at the prices shown on the pricing page at turnover.no at the time of ordering. Prices are stated in NOK and exclude VAT unless otherwise indicated.

3.2 The Freemium plan is free of charge and may be limited in features and volume as described on the pricing page.

3.3 Freelancer plans are paid by card through our payment provider Stripe, in advance per month or per year as chosen at checkout. Producer plans are invoiced monthly in arrears, with the plan fee and the usage-based fees for the elapsed month on one invoice, according to the prices on the pricing page. By subscribing you authorise us to charge the payment method you provide, or to invoice you, for each billing period until the subscription is cancelled.

3.4 New customers may be offered a free trial of one month. A trial is available once per account. At the end of the trial the subscription continues on the chosen plan and is billed unless it has been cancelled before the trial ends.

3.5 Producer plans marked as committed run for a minimum term of 12 months from the start date. They can be cancelled at any time, but the fixed fees for the remaining months of the minimum term are invoiced on cancellation. Plans marked as having no commitment can be turned on and off freely.

3.6 We may change prices with at least 30 days’ notice by e-mail to the Owner. A price change takes effect from the next billing period after the notice period. Changes do not affect a minimum term already agreed.

3.7 If a payment fails we will notify the Owner and retry. If payment is still outstanding 14 days after the due date we may suspend access to paid features until payment is received.

4. Cancellation and refunds#

4.1 The Owner can cancel a subscription at any time from the Subscription page in the application, either immediately or at the end of the current billing period. For committed plans the second option ends the subscription at the end of the minimum term.

4.2 Fees already paid are not refunded when a subscription is cancelled, except where these Terms or mandatory law say otherwise. On cancellation at period end the Customer keeps access until the period runs out.

4.3 If we discontinue the Service or materially reduce the functionality of a paid plan, the Customer may terminate and receive a pro rata refund of prepaid fees for the remaining period.

5. Acceptable use#

You agree not to:

  • use the Service for any unlawful purpose or in breach of the rights of others;
  • register personal data about persons without a lawful basis to do so, or register special categories of personal data in free-text fields;
  • attempt to gain unauthorised access to the Service, other accounts or our infrastructure, or to probe, scan or test its vulnerability without our written permission;
  • interfere with the operation of the Service, for example by sending excessive requests or uploading malicious content;
  • copy, resell, sublicense or make the Service available to third parties other than users you invite under your account;
  • reverse engineer the Service except to the extent permitted by mandatory law.

We may suspend or terminate accounts that breach this section, after notice where practicable.

6. Customer Data and privacy#

6.1 The Customer owns all data it enters into the Service (“Customer Data”). Turnover claims no rights in it beyond what is needed to provide the Service.

6.2 For personal data the Customer enters about crew and employees, the Customer is the controller and Turnover is the processor. The processing is governed by our Data Processing Agreement, which forms part of these Terms.

6.3 The Customer is responsible for having a lawful basis for registering personal data about crew and employees, for informing them as required by the GDPR, and for complying with employment, working time and payroll law in the countries where it operates.

6.4 How we process personal data for our own purposes, such as user accounts and billing, is described in our Privacy Policy.

6.5 The Customer can export Customer Data at any time through the report and export functions of the Service.

6.6 By accepting these Terms the Customer gives Turnover two standing instructions set out in section 10 of the Data Processing Agreement: to delete the national identity numbers and bank account numbers the Customer holds on a person once the productions that person is registered on have ended, and, when the company account is terminated, to disconnect rather than delete the work records of persons who have their own Turnover user account.

7. Integrations#

7.1 The Service can connect to third-party systems such as Tripletex and PowerOffice. Connecting a system is the Customer’s choice, and data is transferred to it on the Customer’s instruction. The third party’s own terms and privacy policy govern the processing there.

7.2 We are not responsible for the availability or behaviour of third-party systems, or for errors in data that originates from them.

8. Termination and deletion#

8.1 Either party may terminate the agreement by cancelling the subscription as described in section 4, or, for free accounts, by deleting the account.

8.2 We may terminate or suspend the agreement with immediate effect if the Customer materially breaches these Terms and does not remedy the breach within 14 days of notice, or if required by law.

8.3 Deleting a user account removes that user’s login and preferences once the deletion is confirmed by e-mail. Productions and company data remain in the Service for the other users of the company. To have all company data deleted, the Owner deletes the productions in the application and asks us in writing at support@turnover.no to delete the company’s employee records. We delete all Customer Data within 30 days of a company account being terminated, or earlier on request, as set out in the Data Processing Agreement. Where a crew member or employee has their own Turnover user account, the records of the work they did for the Customer are disconnected from the company and kept in that person’s own account instead of being deleted.

8.4 Sections 6, 8.3, 9, 11 and 13 survive termination.

9. Intellectual property#

9.1 The Service, including its software, design, documentation and trademarks, is owned by Turnover or its licensors and protected by intellectual property law. The Customer receives a non-exclusive, non-transferable right to use the Service during the term of the agreement.

9.2 If the Customer gives us feedback or suggestions, we may use them freely without obligation.

10. Availability and support#

10.1 We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Planned maintenance is carried out outside normal Norwegian working hours where possible and announced in advance when it is expected to cause downtime.

10.2 We are alerted to application errors in real time and respond to outages as quickly as we can. In the event of a significant outage we inform Owners by e-mail and follow up with a written summary of the cause and the measures taken.

10.3 Support is available by e-mail at support@turnover.no on Norwegian working days. Answers to common questions are available under Support in the application.

10.4 We back up the database daily and keep point-in-time recovery for 14 days, so that data can be restored after an incident on our side. This does not replace the Customer’s own responsibility to export data it needs to keep.

11. Liability#

11.1 The Service is provided as described in these Terms and on turnover.no. To the extent permitted by law we give no other warranties, express or implied.

11.2 We are not liable for indirect or consequential loss, including loss of profit, loss of data that the Customer could have exported, or claims from third parties, except where caused by our gross negligence or wilful misconduct.

11.3 Our total liability under the agreement in any 12-month period is limited to the fees the Customer has paid for the Service in that period. This limitation does not apply to liability that cannot be limited by law, to breaches of the Data Processing Agreement to the extent the GDPR provides otherwise, or to gross negligence or wilful misconduct.

11.4 The Customer is responsible for checking pay calculations before they are used and indemnifies Turnover against claims from its crew, employees or authorities that arise from incorrect configuration or use of the Service.

12. Changes to these Terms#

We may update these Terms. Material changes are notified to Owners by e-mail at least 30 days before they take effect. The current version is always available at turnover.no, and the version and date of last update are stated at the end of the document. Continued use of the Service after a change takes effect constitutes acceptance. If the Customer does not accept a material change it may terminate the agreement before the change takes effect and receive a pro rata refund of prepaid fees for the remaining period.

13. Governing law and disputes#

These Terms are governed by Norwegian law. The parties shall attempt to resolve any dispute by negotiation. Disputes that cannot be resolved are subject to the exclusive jurisdiction of the Norwegian courts, with Sør-Rogaland District Court as legal venue. Consumers keep any rights they have under mandatory consumer protection law in their country of residence.
